Please read these terms and conditions carefully before using Our Service.
Interpretation and Definitions
Interpretation
The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.
Definitions
For the purposes of these Terms and Conditions:
- Company (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to Domainyze, Inc.
- Monitored Domain refers to a domain name that You have added to the Service for the purpose of tracking its status and receiving alerts.
- Service refers to the Domainyze web application.
- Subscription refers to a paid plan You select for continued access to the Service, billed on a recurring basis.
- Terms and Conditions (also referred as "Terms") mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.
- WHOIS/RDAP Data refers to publicly available information about domain name registrations obtained through WHOIS and RDAP protocols.
- You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.
Acknowledgment
These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and the Company. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service.
Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, users and others who access or use the Service.
By accessing or using the Service You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions then You may not access the Service.
You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service.
Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Our Privacy Policy describes Our policies and procedures on the collection, use and disclosure of Your personal information when You use the Service and tells You about Your privacy rights and how the law protects You. Please read Our Privacy Policy carefully before using Our Service.
Your Account
When You create an account with Us, You must provide Us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of Your account on Our Service.
You are responsible for safeguarding the password that You use to access the Service and for any activities or actions under Your password.
You agree not to disclose Your password to any third party. You must notify Us immediately upon becoming aware of any breach of security or unauthorized use of Your account.
You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than You without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.
Subscriptions, Billing & Refunds
Plans and Automatic Renewal
Paid features of the Service are provided through a Subscription. Current plans, features, and pricing are described on Our pricing page. Unless otherwise stated, Subscriptions renew automatically at the end of each billing cycle (monthly or annually, as You selected) until cancelled. By subscribing, You authorize Us to charge Your payment method on file for each renewal until You cancel.
No Refunds
Except where required by applicable law, all fees are non-refundable. You may cancel at any time from Your account settings; cancellation stops future renewals but does not refund amounts already charged, and You retain access to paid features through the end of the current paid period. We do not provide refunds or credits for partial billing periods, unused time, or features You did not use.
Payment Disputes and Chargebacks
We take payment accuracy seriously, for the protection of both You and the Company. If You believe a charge was made in error, please contact Us first at [email protected] — We will work with You in good faith to review and resolve it.
If a chargeback or payment dispute is filed with Your bank or card provider, We may share Your account records (including Subscription history, acceptance of these Terms, and Service usage) with Our payment processor as evidence in that process. If a chargeback is resolved in Our favor and the disputed amount remains unpaid, We reserve the right to suspend or terminate Your access to the Service until the outstanding balance is settled.
Account Deletion and Refund Eligibility
Deleting Your account is permanent and irreversible. It removes Your account record and the monitoring history, alert history, and delivery records associated with it — the same records We would need to evaluate a refund request or billing dispute.
Accordingly, and except where required by applicable law:
- Any refund request or billing dispute should be raised before deleting Your account, while those records still exist.
- Deleting Your account does not, by itself, constitute or entitle You to a refund of amounts already charged.
- Once an account is deleted, We may be unable to verify or process a refund request relating to it, simply because the underlying records no longer exist.
If You want to stop being billed but may want to raise a billing question later, cancel Your Subscription rather than deleting Your account. Cancellation stops future renewals, preserves Your access through the end of the current paid period, and keeps the records that let Us look into any concern You raise. You can delete the account at any point afterward.
Where applicable law gives You a right to a refund that survives account deletion, that law prevails over this section.
Price Changes
We may change Subscription prices. We will provide at least 30 days' notice before a price change takes effect for Your next renewal. Continuing to use the Service after a price change takes effect constitutes acceptance of the new price; if You do not agree, You may cancel before the change takes effect.
Failed Payments and Taxes
If a payment fails, We may suspend access to paid features until the outstanding amount is resolved, following reasonable notice. Fees are exclusive of applicable taxes, which are Your responsibility unless We are legally required to collect them.
Using the Service
Permitted Use
The Service is provided for Your personal and business use to monitor domain names and receive alerts regarding their status and availability. You may use the WHOIS/RDAP Data provided through the Service for purposes consistent with the functionality of the Service and applicable domain policies.
Use of the Service
Using the Service includes, without limitation, maintaining one or more Monitored Domains under active monitoring during a billing period, whether or not You log in to view alerts, dashboards, or notifications. A Subscription with one or more Monitored Domains configured is being actively used for purposes of these Terms — including the No Refunds section above — regardless of how frequently You access the Service directly.
No Guarantee of Alert Accuracy or Timing
Domain status alerts are generated from third-party WHOIS/RDAP sources and registry/registrar data that We do not control. We do not guarantee the accuracy, completeness, or timing of this data, and We are not responsible for registry or registrar delays, changes to grace-period or drop timing, or any resulting outcome — including Your failure to register a domain You were monitoring. Alerts are an informational aid, not a guarantee.
Prohibited Uses
You agree not to use the Service:
- In any way that violates any applicable national or international law or regulation.
- For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way.
- To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter," "spam," or any other similar solicitation.
- To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity.
- In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.
- To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by Us, may harm or offend the Company or users of the Service or expose them to liability.
- To monitor domains for which you do not have a legitimate interest or right to monitor.
- To resell, sublicense, or provide the Service to third parties as a bureau or managed service without Our prior written consent.
- To create multiple accounts, or use automated means to do so, in order to bypass plan limits, usage caps, or free-tier restrictions.
- To circumvent or attempt to circumvent rate limits, access controls, or usage caps.
- To reverse-engineer, decompile, or attempt to extract the source code of the Service, except to the extent that restriction is prohibited by applicable law.
Specific Prohibitions Regarding WHOIS/RDAP Data
You acknowledge that WHOIS/RDAP Data is publicly available but is subject to specific policies and terms of use by domain registries and registrars. When using the Service, You agree to:
- Use WHOIS/RDAP Data obtained through the Service solely for purposes directly related to the monitoring of Your Monitored Domains.
- Not use WHOIS/RDAP Data for any marketing, spamming, or unsolicited commercial communications.
- Not engage in bulk collection, scraping, or redistribution of WHOIS/RDAP Data beyond the scope of Your legitimate use of the Service.
- Comply with all applicable laws, regulations, and policies governing the use of WHOIS/RDAP Data, including those set by ICANN and relevant domain registries.
Service Availability
Partial Service Disruption
From time to time, one or more domain registries, WHOIS servers, or RDAP sources may be slow, unavailable, or return incomplete or delayed data, while the Service itself and other Monitored Domains remain otherwise accessible and operative. This is not considered a failure, outage, or disruption of the Service under these Terms, as it originates from third-party infrastructure outside Our control (see also Force Majeure and "No Guarantee of Alert Accuracy or Timing" above). No credit, refund, or other remedy is available for a partial disruption of this kind.
Full Service Outage
If the Service itself — as opposed to a third-party data source — is entirely unavailable to all users for reasons within Our reasonable control, for 5 or more consecutive calendar days, You may request a service credit equal to a pro-rated portion of Your Subscription fee for the period of unavailability, to be applied to a future billing cycle. This credit is Your sole and exclusive remedy for a full Service outage. It is not available as a cash refund, and does not apply to unavailability caused by scheduled maintenance (of which We will provide reasonable advance notice where practicable), Force Majeure events, or third-party data source disruptions as described above.
Intellectual Property
The Service and its original content (excluding content provided by You or other users), features and functionality are and will remain the exclusive property of the Company and its licensors.
The Service is protected by copyright, trademark, and other applicable intellectual property laws.
Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of the Company.
Indemnification
By You. You agree to defend, indemnify, and hold harmless the Company and its officers, employees, and licensors from any claim, demand, loss, or liability (including reasonable legal fees) arising from: (a) Your violation of these Terms; (b) Your misuse of WHOIS/RDAP Data in violation of applicable law or registry/registrar policy; or (c) Your Monitored Domains or the purposes for which You use the Service.
By the Company. The Company will defend and indemnify You against a third-party claim that the Service, as provided by Us and used in accordance with these Terms, infringes that party's intellectual property rights, and will cover damages finally awarded or agreed in settlement, provided You promptly notify Us of the claim and allow Us to control its defense.
This Section survives termination of these Terms and is not subject to the liability cap in the section below.
Termination
We may terminate or suspend Your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms and Conditions.
Upon termination, Your right to use the Service will cease immediately. Sections that by their nature should survive termination — including Intellectual Property, Indemnification, Limitation of Liability, Dispute Resolution, and Governing Law — will survive.
Limitation of Liability
Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of these Terms and Your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by You through the Service or 100 USD if You haven't purchased anything through the Service.
To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of this Terms), even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.
This limitation does not apply to either party's obligations under the Indemnification section above, or to liability that cannot be limited under applicable law.
"AS IS" and "AS AVAILABLE" Disclaimer
The Service is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its Affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice. Without limitation to the foregoing, the Company provides no warranty or undertaking, and makes no representation of any kind that the Service will meet Your requirements, achieve any intended results, be compatible or work with any other software, applications, systems or services, operate without interruption, meet any performance or reliability standards or be error free or that any errors or defects can or will be corrected.
Governing Law
These Terms shall be governed by the laws applicable to the Company's principal place of business, without regard to conflict-of-law principles, except to the extent mandatory consumer protection laws of Your country of residence provide otherwise and cannot be waived.
Dispute Resolution
If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company at [email protected] and allowing at least 30 days for a response before pursuing any other remedy.
If a dispute is not resolved informally, it will be settled by binding, individual arbitration rather than in court, except that either party may bring an individual claim in small claims court where available. Disputes will not be brought as a class, collective, or representative action, except where applicable law does not allow this waiver.
If You are a consumer resident in a jurisdiction whose law does not permit mandatory arbitration or a class-action waiver to override your statutory consumer rights, this section applies only to the extent permitted by that law, and You retain all rights and remedies available to You under Your local law.
Force Majeure
Neither party will be liable for any failure or delay in performance under these Terms resulting from causes beyond its reasonable control, including natural disasters, internet or utility outages, acts of government, or failures of third-party registries, registrars, or WHOIS/RDAP data sources.
Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without Our prior written consent. We may assign these Terms without restriction in connection with a merger, acquisition, or sale of assets.
Changes to These Terms and Conditions
We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material We will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.
By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the Service.
Miscellaneous
Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between You and the Company regarding the Service and supersede any prior agreements.
Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
No Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
